These Terms and Conditions ("Terms") govern your use of the ComplianceDesk AI platform, including all services provided under the Niti IDV, Pomello, and Pomelli product lines (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
1. Definitions
- "Platform" refers to ComplianceDesk AI and all associated products, APIs, and interfaces.
- "User" refers to any individual or entity accessing the Platform.
- "Data Principal" refers to any individual whose personal data is processed, as defined under the DPDP Act 2023.
- "DPO" refers to the statutory Data Protection Officer appointed under Section 10 of the DPDP Act 2023.
2. Services
ComplianceDesk AI provides identity verification, compliance automation, and WhatsApp-based engagement services to enterprise and retail clients. All Services are delivered on a subscription or per-verification basis as specified in the applicable service agreement.
3. User Obligations
- You will provide accurate and complete information when using the Platform.
- You will not use the Platform for any unlawful purpose or in violation of any applicable law.
- You are responsible for maintaining the confidentiality of your account credentials.
- You will comply with all data protection obligations as a Data Fiduciary or Data Processor, as applicable.
4. Intellectual Property
All content, algorithms, proprietary scoring models (including the Bi-Fact Scorer), and underlying technology are the exclusive property of ComplianceDesk AI LLP. Unauthorized reproduction, distribution, or reverse engineering is strictly prohibited.
5. Data Processing
Personal data is processed strictly in accordance with our DPDP Privacy Notice. All data is stored within Indian territory and encrypted with AES-256 encryption. Data is automatically purged within 72 hours of verification completion unless a longer retention period is mandated by law.
6. Payment Terms
- All fees are denominated in Indian Rupees (INR) and are exclusive of applicable GST (18%).
- Payments are processed through Razorpay Payment Gateway.
- Invoices are generated automatically via the Pomelli Finance module.
- Late payments beyond 30 days may result in service suspension.
7. Limitation of Liability
ComplianceDesk AI shall not be liable for indirect, incidental, or consequential damages arising from the use of the Platform. Our total liability shall not exceed the amounts paid by you in the preceding 12 months.
8. Termination
Either party may terminate the service agreement with 30 days written notice. Upon termination, all personal data will be securely erased per the DPDP Act retention schedule. ComplianceDesk AI reserves the right to terminate access immediately in case of violation of these Terms.
9. Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana.
10. Amendments
ComplianceDesk AI reserves the right to modify these Terms at any time. Users will be notified of material changes via email or platform notification. Continued use of the Services after such notification constitutes acceptance of the modified Terms.
